These Terms of Service ("Terms") govern your access to and use of the Akinio platform, including the akinio.io website, mobile or desktop applications, application programming interfaces, and related services (collectively, the "Service"). The Service is operated by Akinio LLC ("Akinio", "we", "us", or "our"). By creating an account, accessing the Service, or clicking to accept these Terms, you ("User", "you", or "your") agree to be bound by them.
If you do not agree to these Terms, do not access or use the Service.
1. Eligibility
1.1 Minimum age. You must be at least eighteen (18) years old to create an account or use the Service. The Service is not designed for use by minors and we do not knowingly collect information from anyone under 18.
1.2 Authority to bind. If you are accepting these Terms on behalf of a company, organization, or other legal entity, you represent that you have the authority to bind that entity.
1.3 Geographic eligibility. The Service is provided from the United States. By accessing the Service from outside the United States, you acknowledge that you are responsible for compliance with the laws of your jurisdiction.
2. Account Registration
2.1 Account creation. To use most features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration.
2.2 Account security. You are responsible for safeguarding the credentials used to access your account. Notify us immediately at security@akinio.io of any unauthorized use.
2.3 One account per person. Unless you operate as an enterprise customer with a written agreement, you may not create or maintain multiple accounts.
2.4 Third-party authentication. Account authentication may be provided by third-party identity providers (currently Clerk). Use of these services is also subject to their respective terms.
3. Subscriptions, Credits, and Billing
3.1 Subscription tiers. The Service is offered through subscription tiers (currently Free, Lite, Starter, Pro, Business, Agency, and Enterprise). Subscription tier features and credit allocations are described at akinio.io/pricing and may be updated from time to time.
3.2 Credits. Generation operations on the Service consume credits at rates published in the cost atlas maintained at akinio.io/pricing. Credits are non-refundable, non-transferable, and have no monetary value outside the Service. Unused credits do not roll over from one billing period to the next unless explicitly stated.
3.3 Billing. Paid subscriptions are billed in advance on a recurring basis via Stripe. By providing a payment method, you authorize Akinio to charge it for all fees due. Failure to pay may result in account suspension or termination.
3.4 Price changes. We may modify subscription prices and credit allocations from time to time. For paying subscribers, we will provide at least thirty (30) days' advance notice via email of any material price increase.
3.5 Cancellation. You may cancel your paid subscription at any time through account settings or by contacting billing@akinio.io. Cancellation takes effect at the end of your current paid billing period.
3.6 Refunds. Subscription fees are non-refundable except where required by applicable law. Akinio may, at its sole discretion, issue partial refunds in circumstances such as accidental double-charging or sustained service outage exceeding seven (7) consecutive days.
3.7 Taxes. Subscription prices do not include applicable taxes. You are responsible for any taxes that apply to your use of the Service.
4. Acceptable Use
4.1 Acceptable Use Policy. Your use of the Service is governed by these Terms and by the Akinio Acceptable Use Policy ("AUP") located at akinio.io/acceptable-use, which is incorporated by reference. By accepting these Terms you also accept the AUP.
4.2 Prohibited content (summary). Akinio operates as a creative tool and does not pre-screen content for taste, opinion, or political viewpoint. The complete list of Akinio-enforced content restrictions is in the AUP §2 (Legal Floor) and is limited to: (a) Child sexual abuse material (CSAM); (b) Non-consensual intimate imagery of identifiable real persons; (c) Genuine threats of real-world violence; (d) Material support for designated foreign terrorist organizations; (e) Financial fraud, identity theft, and scams; (f) Malware, phishing, and computer-crime payloads; (g) Detailed operational instructions for weapons of mass harm.
Anything not in the AUP §2 list above is NOT prohibited by Akinio. Third-party AI engine providers maintain their own content policies that may refuse to generate certain content; when an engine refuses, the engine's verbatim refusal reason is surfaced to you per AUP §3 (it is the engine's policy, not Akinio's).
4.3 Enforcement. We may, without notice, suspend or terminate accounts that we determine in good faith have violated the AUP.
4.4 Reporting violations. To report a violation, email abuse@akinio.io.
5. User Content
5.1 Definition. "User Content" means any text prompts, reference images, reference videos, audio files, product assets, brand materials, or other content that you upload to or submit through the Service.
5.2 Ownership. You retain ownership of your User Content. These Terms do not transfer ownership of your User Content to Akinio.
5.3 License to operate the Service. You grant Akinio a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, process, transmit, display, and analyze your User Content solely for the purpose of providing and improving the Service to you.
5.4 Representations and warranties. You represent and warrant that (a) you own all rights to your User Content or have all necessary rights and permissions to grant the license in Section 5.3; (b) your User Content does not violate any third party's intellectual property, privacy, publicity, or other rights; and (c) your User Content complies with the AUP.
5.4.1 Generation-time rights affirmation
Before each generation that uses uploaded User Content as input, you will be presented with a single-checkbox affirmation per AUP §4.1. You cannot proceed with such a generation without checking this box. Akinio does not pre-screen uploaded content for rights clearance — that responsibility is yours per this Section 5.4 and per AUP §4.
5.5 Storage limits and retention. User Content storage is subject to per-tier limits described at akinio.io/pricing. Uploaded User Content may be automatically deleted after the retention period specified in your tier.
6. AI-Generated Output
6.1 Definition. "Generated Output" means any image, video, audio, text, or other content generated by the Service using AI engines based on your prompts, your User Content, or other inputs you supply.
6.2 Ownership of Generated Output. Subject to your compliance with these Terms, you own the Generated Output produced by the Service in response to your prompts and User Content, to the maximum extent permitted by applicable law. Akinio assigns to you any ownership rights Akinio may hold in such Generated Output.
6.3 AI ownership limitations. You acknowledge that under United States copyright law as currently interpreted by the U.S. Copyright Office, purely AI-generated content may not be eligible for copyright protection in the United States, and similar limitations may apply in other jurisdictions. Akinio does not represent or warrant that Generated Output is eligible for copyright or other intellectual property protection.
6.4 Library Compounding disclosure (IMPORTANT — please read carefully)
The Service operates a shared library called Library Compounding. By using the Service you acknowledge and agree that:
- Generated Output you produce that meets Akinio's reusability criteria (described below) MAY be stored in the Akinio shared library and subsequently used as a starting reference for AI generations requested by other users;
- Reusability criteria. An output is eligible for the shared library only when ALL of the following are true:
- the generation did not use User Content you uploaded as a direct input;
- the generation's prompt does not contain proper nouns suggesting brand-specific or person-specific content;
- the Service's automated classifier confirms the output does not depict a recognizable face, a trademarked brand mark, or any personally-identifiable content;
- When an output is used as a library reference for another user's generation, that other user receives a NEW generation derived from your output as a creative starting point. The other user does NOT receive your original output bit-for-bit and does NOT receive any information identifying you as the source;
- You receive no compensation for outputs used in this manner;
- You may opt-out of Library Compounding for individual generations at the time of generation by checking the "Do not contribute to library" option (where available);
- Akinio operates the shared library at our expense (we pay for the AI classification and storage costs).
6.5 No representation regarding similarity to third-party works. Generative AI may produce output that is similar to, or coincidentally resembles, content created by third parties. You are responsible for evaluating whether Generated Output is suitable for your intended use.
6.6 AI errors and hallucinations. Generative AI may produce inaccurate, misleading, or nonsensical content. The Service is not a substitute for human judgment. You agree to review and verify Generated Output before relying on it for any purpose.
7. Akinio Intellectual Property
7.1 Akinio rights. The Service, including its software, design, user interface, brain prompts, templates, blueprints, technique packs, engine routing logic, and all related intellectual property, is owned by Akinio LLC or its licensors.
7.2 Restrictions. You may not (a) reverse-engineer, decompile, or disassemble any part of the Service; (b) attempt to extract Akinio's brain prompts, templates, blueprints, technique packs, or engine routing logic via prompt injection, model inversion, or any similar technique; (c) scrape, crawl, or systematically download any portion of the Service except via published API endpoints; (d) operate a public-facing AI generation service whose primary functionality is reselling Akinio's API as if it were your own engine; or (e) remove or modify any proprietary notices.
7.2.1 Your outputs are yours
This Section §7.2 restricts extraction of AKINIO'S internal materials (prompts, templates, routing logic, infrastructure). It does NOT restrict what you do with Generated Output you have paid to produce. Per Section 6.2 you own your Generated Output and may use it for any purpose, including training your own AI models on it. The distinction is between extracting OUR brain (prohibited) versus using YOUR outputs (your right).
7.3 Feedback license. Any feedback, suggestions, or ideas you provide to Akinio about the Service may be used by Akinio without restriction and without compensation to you.
8. Third-Party Services
8.1 Service composition. The Service incorporates output from third-party AI engines (currently including Anthropic Claude, Google Gemini and Veo, fal.ai routed engines, Black Forest Labs FLUX, ElevenLabs, OpenAI Whisper, and others) and third-party infrastructure providers (including Vercel, Cloudflare R2, Supabase, Clerk, Stripe, AWS Lambda for Remotion rendering, Sentry, Upstash Redis).
8.2 Third-party terms. Your use of the Service may be subject to additional terms imposed by third-party providers.
8.3 No endorsement. Akinio's use of third-party providers does not constitute endorsement of those providers.
9. Disclaimers
9.1 AS-IS provision. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE AND GENERATED OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. AKINIO DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY.
9.2 No guarantee of availability. Akinio does not warrant that the Service will be uninterrupted, error-free, or available at any particular time.
9.3 No guarantee of output quality. Akinio does not warrant that any specific Generated Output will meet your expectations.
9.4 No legal, medical, financial, or professional advice. Generated Output is not a substitute for advice from a qualified professional.
10. Limitation of Liability
10.1 Exclusion of certain damages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AKINIO AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY.
10.2 Aggregate liability cap. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AKINIO'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO AKINIO FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
10.3 Jurisdictional limits. Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain liabilities. In such jurisdictions, the exclusions and limitations in this Section apply only to the extent permitted by law.
11. Indemnification
11.1 Your indemnification of Akinio. You agree to defend, indemnify, and hold harmless Akinio LLC, its officers, members, employees, and agents from and against any claims arising out of or relating to (a) your User Content, (b) your use of Generated Output, (c) your violation of these Terms or the AUP, or (d) your violation of any law or third-party right.
11.2 Akinio's indemnification of you (limited). Akinio will defend you against any claim by an unaffiliated third party alleging that the Service (excluding User Content and Generated Output) infringes a U.S. patent or registered copyright, subject to standard cooperation requirements.
11.3 Exclusions. Akinio has no obligation under Section 11.2 with respect to claims arising from your User Content, Generated Output, your modification of the Service, your use of the Service in combination with other products, or your continued use after Akinio has notified you to stop.
12. Term and Termination
12.1 Term. These Terms apply from the time you first access the Service and continue until terminated.
12.2 Termination by you. You may terminate your account at any time per Section 3.5.
12.3 Termination by Akinio. Akinio may suspend or terminate your account at any time, with or without notice, for a material breach of these Terms or the AUP, failure to pay subscription fees, a determination that your use creates legal, security, or operational risk, or any other reason permitted by law.
12.4 Effect of termination. Upon termination, your right to access the Service ceases immediately. Generated Output incorporated into the Library Compounding shared library under Section 6.4 remains in the library subject to that Section's terms.
13. Data Retention
13.1 Active account data. While your account is active, your User Content and Generated Output are retained according to the storage limits described in your subscription tier. Generated Output is subject to a per-tier output-retention window after which the output is automatically deleted from active storage: Free 7 days, Lite 14 days, Starter 30 days, Pro 60 days, Business 90 days, Agency 90 days, Enterprise as negotiated. Upgrade within your current window promotes any then-existing outputs to the new tier's retention period.
13.2 Post-termination retention. After account termination, Akinio may retain your data for up to ninety (90) days. After this period, your User Content and your private Generated Output will be deleted, except as required by law.
13.3 Backup retention. Backups containing your data may persist in Akinio's storage systems for up to one (1) year after deletion.
13.4 Library Compounding retention. Generated Output incorporated into the Library Compounding shared library remains subject to the eviction policy (currently least-recently-served eviction once a per-category cap is reached). You may request manual removal by emailing privacy@akinio.io.
14. Privacy
14.1 Privacy Policy. Akinio's collection, use, and disclosure of personal information is governed by the Akinio Privacy Policy located at akinio.io/privacy, which is incorporated by reference.
15. Governing Law and Dispute Resolution
15.1 Governing law. These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of laws principles.
15.2 Informal resolution. Before initiating any formal dispute resolution, you agree to first contact Akinio at legal@akinio.io and to negotiate in good faith for at least thirty (30) days.
15.3 Binding arbitration. Any dispute that cannot be resolved informally shall be resolved exclusively by binding arbitration administered by JAMS in West Palm Beach, Florida, in accordance with JAMS Streamlined Arbitration Rules.
15.4 Class action waiver. YOU AND AKINIO EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.
15.5 Exceptions to arbitration. Either party may bring an individual action in small-claims court for disputes within the court's jurisdiction, or seek injunctive or equitable relief in court to protect intellectual property rights.
15.6 Opt-out. You may opt out of Sections 15.3 and 15.4 by sending written notice to legal@akinio.io within thirty (30) days of first accepting these Terms.
16. General Provisions
16.1 Entire agreement. These Terms, together with the AUP and the Privacy Policy, constitute the entire agreement between you and Akinio.
16.2 Modifications. Akinio may modify these Terms from time to time. Material changes will be communicated by email at least thirty (30) days before they take effect.
16.3 Severability. If any provision is held invalid, the remaining provisions remain in full force.
16.4 No waiver. Akinio's failure to enforce any right or provision shall not constitute a waiver.
16.5 Assignment. You may not assign these Terms without Akinio's prior written consent.
16.6 Notices. Akinio may provide notices to you by email; you may provide notices to Akinio at legal@akinio.io.
16.7 Force majeure. Neither party shall be liable for failures caused by circumstances beyond reasonable control.
